1. Parties and Acceptance
These Terms of Service (the “Terms”) are an agreement between you (the “Customer”) and Rodigan Labs Ltd. doing business as Fleetr (“Fleetr,” “we,” “us,” or “our”), a British Columbia company based in Victoria, British Columbia, Canada.
If you use Fleetr on behalf of a brokerage or other organization, “Customer” means that organization, and you represent that you are authorized to bind it to these Terms. By creating an account, accessing, or using Fleetr, you agree to these Terms. If you do not agree, do not use the platform.
If Fleetr and the Customer have entered into a separate written agreement governing the Service, that agreement will prevail over these Terms to the extent of any conflict.
2. Eligibility
You must be a licensed insurance broker or an authorized representative of a brokerage to use Fleetr. You represent and warrant that you are authorized to bind your organization to these Terms.
3. Account Registration
Each login is for a named individual. Accounts must not be shared. The Customer determines which personnel have a legitimate need to use the platform and is responsible for all activity under its users’ accounts. You must keep credentials confidential and notify us immediately of any unauthorized use.
4. The Service
Fleetr is a document processing and workflow automation platform for insurance brokerages. Depending on your plan, the service may identify document types, apply agency stamps and signatures, split, merge, organize, and export files, and provide related logging and administrative tools.
Fleetr processes documents and files that the Customer uploads. It does not connect to ICBC systems, store ICBC logins, or retrieve records from ICBC on the Customer’s behalf.
Fleetr does not make insurance coverage decisions, bind insurance, alter records held by the Insurance Corporation of British Columbia (“ICBC”), or replace the Customer’s professional responsibility to review transactions and documents.
5. Independence from ICBC
Fleetr is an independent software provider. It is not affiliated with, endorsed by, or operated by ICBC. Nothing in these Terms, the website, or the service grants Fleetr any ownership of, or licence to, ICBC information, documents, marks, forms, or other intellectual property, other than the limited right to process Customer-submitted materials solely as needed to provide the service to the Customer.
6. Permitted Use
You agree to use the platform only for its intended purpose: to assist your organization with processing insurance documents that you upload in the ordinary course of your brokerage operations. You agree not to:
- Reverse engineer, copy, or resell the platform;
- Upload malicious code or perform security attacks;
- Use the platform in violation of any law or regulation;
- Use the platform in a way that misrepresents Fleetr as an ICBC system, product, or authorized service;
- Provide ICBC account credentials to Fleetr, or use Fleetr to log into, scrape, frame, automate, deep-link, or otherwise access ICBC websites or systems.
7. Customer Data
“Customer Data” means documents, records, and other information submitted to Fleetr by or on behalf of the Customer, including personal information contained in those materials. The Customer retains all ownership and control of Customer Data that it had before submitting it to Fleetr. Fleetr does not acquire ownership of Customer Data, ICBC information, or third-party materials contained in submitted documents.
The Customer grants Fleetr a limited licence to process Customer Data solely as necessary to provide, maintain, secure, and support the contracted services, in accordance with the Customer’s instructions, these Terms, our Privacy Policy, and applicable law. We do not use Customer Data for unrelated marketing or other unrelated purposes.
8. Authorization
The Customer is responsible for ensuring that it has lawful authority to provide information and documents to Fleetr and to instruct Fleetr to process them. That authority may arise from the Customer’s relationship with its clients, applicable privacy law, and any contractual restrictions that apply to the Customer. The Customer warrants that it is permitted to provide those materials to Fleetr under its own arrangements with ICBC or other insurers. Individual consent, where obtained, does not necessarily override a confidentiality or contractual restriction that applies to the Customer.
9. Stamps and Signatures
The Customer controls its stamp and signature assets and determines who within its organization is authorized to use them. Users represent that they have authority to instruct Fleetr to apply those assets. Fleetr applies stamps and signatures only on those authorized instructions. The Customer remains responsible for reviewing completed documents and for satisfying applicable regulatory, insurer, and professional requirements.
10. Professional Responsibility
The Customer is solely responsible for ensuring that client data, coverage selections, and generated documents are accurate and suitable for their intended use. Fleetr does not replace broker review of transactions or documents.
11. Fees and Billing
Access to the platform may be subject to subscription fees or per-document charges. By subscribing, you agree to the pricing terms provided at the time of registration or in your invoice.
12. Intellectual Property
All content, code, and design elements of the Fleetr platform are the intellectual property of Rodigan Labs Ltd. You are granted a non-exclusive, revocable licence to use the platform under these Terms. These Terms do not transfer ownership of Fleetr’s software, branding, or documentation.
13. Confidentiality and Security
Fleetr treats Customer Data as confidential and will not use or disclose it except as needed to provide the service, as described in the Privacy Policy, or as required by law. We maintain reasonable administrative, technical, and physical safeguards appropriate to the nature of the information we process. 14. Privacy
Use of the platform is subject to our Privacy Policy, which explains how we collect, use, and retain personal information.
15. Termination
We may suspend or terminate access to the platform for material breach, non-payment, or as otherwise provided in your order or invoice. You may stop using the service at any time. Upon termination, you must cease use of the platform. Insurance brokers may need to retain copies of documents for statutory, contractual, or business-record purposes; these Terms do not require you to destroy records your organization is entitled or obliged to keep.
Fleetr will delete or discontinue processing Customer Data remaining in the service in accordance with the Privacy Policy, except for information we must retain for billing, security, or legal purposes.
16. Disclaimer
Fleetr is provided “as is” without warranties of any kind. We do not guarantee accuracy, uptime, or document acceptance by ICBC or any other third party.
17. Limitation of Liability
To the maximum extent permitted by law, Rodigan Labs Ltd. shall not be liable for indirect, incidental, or consequential damages. Liability for direct damages shall be limited to the fees paid by you in the past twelve (12) months.
18. Modifications
We reserve the right to update these Terms at any time. Material changes will be communicated via email or within the app. Continued use after such notice constitutes acceptance.
19. Governing Law
These Terms shall be governed by the laws of the Province of British Columbia, Canada. Any disputes shall be resolved in the courts of British Columbia.
